As a consequence we ...

Following the announcement of the sale of Tenix Defence, Tenix has received a number of unsolicited enquiries from companies interested in purchasing Tenix Aviation Pty Ltd [TAv].

As a consequence we recently completed a strategic review of the business and the Board has concluded that while we currently have a solid market position, and sound growth prospects into the future, certain industry specific parties may be in a better position to exploit the range of strategic opportunities that exist for the business. As a result the shareholders have decided to formally assess the interest of key industry players in acquiring TAv.

A formal process, managed by Tenix Corporate, will begin within the next week or so. After these initial talks, suitable companies will be provided with specific details about TAv and Tenix will then evaluate proposals received to determine whether they represent a sufficiently attractive alternative to continued ownership.

There is no doubt that TAv is a good business with a good future. It is highly regarded and plays an important role in General Aviation in Australia . Potential acquirers have acknowledged this capability and the market is responding enthusiastically to the introduction of the PT6A capability and the prospect of an STC and a new System of Maintenance for Cessna Conquest aircraft.

It should be noted that the process and evaluation to consider a sale will be similar to that which was recently undertaken for the Defence and Alliance businesses within Tenix. In the Defence area this resulted in the sale to BAE. However, whilst considerable interest was received for the Alliance business none of the offers presented represented a sufficiently attractive alternative to continued ownership. This option exists for TAv as well.

As a result Tenix remains positive about TAv’s future and, as it has done over the past 10 years, continues to invest in its development and growth.

The purchase of Cessna Conquest aircraft VH-YFD has reinforced to the market our commitment to the General Aviation sector and our decision this week to acquire VH-TFB is further evidence that we are going to market with a strong business that will continue to be supported by a capable shareholder regardless of the outcome of the sale process.

All staff at TAv can be proud of their achievements in recent times. The recent FAA and CASA audits confirmed TAv’s standard of skills, knowledge, equipment and systems and shows why TAv is well respected within the industry and why industry participants are interested in it.

It is therefore a suitable time to assess the possibilities of improving the company’s future through the expanded business and career opportunities that another owner could provide.

It is important to note that when the shares of a business are sold the staff conditions are maintained and there is protection for existing staff arrangements and accrued benefits. It is well understood that the value in any business is a combination of the infrastructure and the people and this is particularly obvious in aviation. The expectation is that a sale of TAv could provide bigger opportunities for its many talented people.

The program for a sale process will be carried out by staff at Tenix Corporate and both Jim Cowman and I will keep you informed as far as is possible. TAv will operate ‘business as normal’ and we will continue with all the plans and programs we have to grow and improve the business.

We need to maintain focus at an important and busy time for all departments and not let this process distract us. Senior management at Tenix continues to be impressed with the manner in which all staff carry out their responsibilities and with the effort and quality of work being done. The statement by the FAA Inspector complimenting the staff and the facility was well deserved.

Please don’t hesitate to contact your Department Manager, Jim Cowman or me directly should you have any further questions.

Regards

Steven Hedge

Group General Manager

Tenix Investments

Tenix Alliance seals West Australian power partnership

Infrastructure services company Tenix Alliance has forged a new partnership with Western Power and Downer EDI Engineering to deliver the biggest capital works program in Western Power’s...

Infrastructure services company Tenix Alliance has forged a new partnership with Western Power and Downer EDI Engineering to deliver the biggest capital works program in Western Power’s history.

The alliance has a potential value of more than $250 million in the first year with the work aimed at improving the safety, capacity and reliability of Western Power’s South West Interconnected System. It will include capital works for both the transmission and distribution networks for a period of five years, with an option to extend for a further five.

“Tenix Alliance is looking forward to contributing to such a landmark undertaking,” said Greg Hayes, Tenix Alliance Chief Executive and Group Managing Director.

The alliance aims to minimise the impact of the rising cost of materials and the skilled labour shortage being experienced by businesses in Western Australia .
